SAUNDERS INSTRUMENTS
Code of Conduct for Suppliers and Third-Party Intermediaries

This Code of Conduct sets out the standards Saunders Instruments expects of every supplier, contractor, agent, distributor, and third-party intermediary that does business with us. It addresses how those parties carry out their responsibilities towards their workers, their business partners, the wider community, and the environment.
By accepting an order from Saunders Instruments, or by entering into an agreement with us, the supplier confirms that it will operate in accordance with the principles set out below and will make reasonable efforts to extend the same principles into its own supply chain.
Suppliers shall comply with all laws and regulations applicable to their operations and to the goods and services they provide to Saunders Instruments.
Suppliers shall respect internationally recognized human rights and shall neither cause nor contribute to human rights violations through their own conduct or that of those acting on their behalf. Particular care shall be taken with respect to people who may be especially vulnerable to harm, including women, children, migrant workers, and indigenous communities.
All work performed for or on behalf of the supplier shall be performed voluntarily. Suppliers shall not use, support, or contribute to slavery, servitude, debt bondage, human trafficking, or any other form of forced, compulsory, or exploitative labor. Workers shall not be coerced into employment, and shall be free to leave their employment after giving reasonable notice in accordance with their contract and applicable law.
Suppliers shall not employ any person below the age of 15, or below the age of 14 in countries that fall within the developing-country exception of ILO Convention 138. Workers below the age of 18 shall not be assigned to any work that is likely to harm their health, their safety, or their moral development.
Suppliers shall treat their workers fairly and equally and shall promote equal opportunity. Discrimination on the basis of skin color, race, nationality, ethnic or social origin, disability, gender, sexual identity or orientation, marital status, political opinion, religious belief, age, or any other characteristic protected by applicable law is not acceptable.
Mistreatment of any kind — including mental cruelty, sexual harassment, intimidation, and abusive, coercive, threatening, or exploitative language, gestures, or physical contact — shall not be tolerated.
Suppliers shall recognize the lawful rights of their workers to form, join, or refrain from joining trade unions or other workers' representative bodies, and to bargain collectively. Workers shall be neither favored nor disadvantaged because of their membership, or non-membership, in such organizations.
Suppliers shall comply with all applicable laws governing working hours, rest periods, overtime, wages, and benefits. Workers shall receive fair compensation, at least equal to the applicable legal minimum, paid on time and in full, in accordance with applicable wage and compensation laws.
Where workers are deployed across borders, suppliers shall observe the legal requirements of the host jurisdiction, in particular those relating to minimum wages.
Suppliers shall provide safe and healthy working conditions in line with applicable national and international standards. Specifically, suppliers shall:
• Operate a reasonable management system for occupational health and safety, proportionate to the size and nature of their operations.
• Identify and control workplace hazards and provide appropriate training to all workers on the health and safety matters relevant to their roles.
• Where private or public security personnel are engaged, ensure that those personnel respect the rights of workers and other affected persons, and do not use or threaten unlawful physical or mental force.
Suppliers shall make available a protected channel through which their workers, and other persons affected by their operations, can report suspected breaches of this Code or other concerns. Suppliers shall protect those who raise concerns in good faith, and those who participate in any related investigation, from retaliation of any kind.
Suppliers shall comply with applicable environmental laws and international standards and shall work continuously to reduce their environmental impact. Specifically, suppliers shall:
• Operate a reasonable environmental management system appropriate to the scale and nature of their activities.
• Minimize environmental pollution generally, and pursue continuous improvement in environmental performance.
• Reduce emissions of air pollutants and greenhouse gases, and reduce harmful soil change, water pollution, and harmful noise emissions, to the extent reasonably achievable.
• Improve energy efficiency, increase the use of renewable energy, and reduce water consumption, to the extent reasonably achievable.
• Refrain from any unlawful taking of land, forests, or water resources.
• Reduce waste at source and ensure that any waste generated is treated and disposed of properly and in accordance with applicable law.
Suppliers shall not engage, directly or indirectly, in any form of corruption or bribery. Suppliers shall not give, offer, promise, request, or accept anything of value with the intent of improperly influencing a government official or a private-sector counterparty, or of obtaining or retaining an improper business advantage. Facilitation payments are likewise prohibited.
Suppliers shall comply with applicable national and international competition and antitrust laws. Suppliers shall not participate in price fixing, market or customer allocation, market sharing, bid rigging, or any similar anti-competitive arrangement with competitors. Suppliers shall respect the intellectual property rights of others.
Suppliers shall avoid any actual, potential, or apparent conflict of interest that could improperly influence the business relationship with Saunders Instruments. Where such a conflict cannot be avoided, the supplier shall disclose it promptly, internally and to Saunders Instruments.
Suppliers shall not, directly or indirectly, facilitate money laundering or the financing of terrorism, and shall maintain controls appropriate to their business to prevent both.
Suppliers shall process personal data confidentially and responsibly, shall respect the privacy of the individuals to whom the data relates, and shall ensure that personal data is effectively protected and used only for legitimate purposes, in accordance with applicable data-protection law.
Suppliers shall comply with all applicable export control, import, customs, sanctions, and other foreign trade regulations.
Suppliers shall make reasonable efforts to ensure that raw materials incorporated in the products they supply do not originate from conflict-affected or high-risk areas in ways that contribute to human rights abuses, corruption, the financing of armed groups, or other comparable harms. Suppliers shall be prepared to provide evidence of their due diligence on request.
Suppliers shall use reasonable efforts to ensure that their own suppliers and subcontractors comply with the principles of this Code, applying a risk-based approach to monitoring. Suppliers shall also apply the principle of non-discrimination in the selection and treatment of their own suppliers.
By doing business with Saunders Instruments, the supplier confirms its commitment to the principles set out in this Code. Saunders Instruments may, on a risk-based basis, request evidence of compliance, including self-assessment questionnaires, supporting documents, or, where appropriate, on-site reviews. Material breaches of this Code may give rise to corrective-action requirements, suspension of business, or termination of the business relationship.

Saunders Instruments treats reports confidentially and does not tolerate retaliation against any person who raises a concern in good faith.
Acceptance of POs from Saunders Instruments indicates that SUPPLIER has read and understood this Saunders Instruments Code of Conduct for Suppliers and Third-Party Intermediaries.
Saunders Instruments
